Cramdown Terms of Service
These terms are between you and Drop Off Service LLC d/b/a Cramdown, a Georgia limited liability company ("Cramdown", "we", "us"). They govern your use of Cramdown, the web application at cramdown.ai and its subdomains, and the services we provide through it (the "Service"). By creating an account or using the Service, you agree to them for yourself and, if you use it for a firm, for that firm. You confirm you are authorized to do so.
If your firm takes part in the Cramdown limited beta, the Beta Terms also apply. Where they differ from these terms, the Beta Terms govern.
1. Who may use Cramdown
The Service is for professionals and their firms working on bankruptcy, restructuring and related matters. You must be at least 18 and able to enter a binding agreement. Your firm's administrators decide who in the firm has an account and which matters each person can see.
2. Your account
Keep your sign-in details secure and use multi-factor authentication when it is offered. You are responsible for activity under your account. Tell us promptly at support@cramdown.ai if you think your account has been used without permission.
3. Professional responsibility
Cramdown assists professionals; it does not give legal, financial or tax advice. Its output, including extracted figures, classifications, draft forms and AI-generated text, may be incomplete or wrong. A qualified professional must review it before it is filed, served or relied on. You remain responsible for your filings, your advice and your professional obligations, including privilege and confidentiality.
4. Your data
- Ownership. You, your firm or your client own the documents and data uploaded to the Service ("Customer Data"). These terms give us no ownership of it.
- Our use. We use Customer Data to provide the Service to you, as described in our Privacy Policy. We do not sell it, and we do not use it to train generalized AI models.
- Confidentiality. We keep Customer Data confidential and protect it with reasonable administrative, technical and physical safeguards. We disclose it only to service providers that run the Service for us under confidentiality obligations, or where the law requires.
- Export and deletion. Your firm may export or delete its Customer Data at any time, and may ask us for help doing so.
5. Your responsibilities for content
You confirm you have the right to upload and process the Customer Data you put into the Service, including any personal information about people named in your matters, and that doing so complies with the law, court orders and your professional duties. Do not upload content you are not permitted to share with us.
6. Acceptable use
Do not:
- break the law, or infringe anyone's rights, through the Service;
- try to reach data, matters or accounts you have not been given access to;
- probe, scan or test the Service's security without our written permission;
- interfere with the Service, overload it, or introduce malicious code;
- copy, resell or build a competing product from the Service, or reverse-engineer it except where the law allows;
- share your account or let anyone use the Service through it.
7. Connected services
You can connect third-party services such as Google Drive, Box, QuickBooks Online, Bill.com and Concur. Your use of each is governed by that provider's own terms. We access a connected service only as you authorize, and you can disconnect it at any time. We are not responsible for third-party services or for changes they make.
8. Fees
Fees, if any, are set out in your firm's order or plan. During the limited beta no fees are charged, and nothing converts to a paid plan without your firm's agreement.
9. Our property and feedback
We own the Service, including its software, design and documentation, and these terms give you only the right to use it. If you send us suggestions or feedback, we may use them without obligation to you.
10. Disclaimers
The Service is provided as is and as available. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise the Service will be uninterrupted or error-free. Do not rely on it as your only copy of any document or record.
11. Limitation of liability
To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount your firm paid us for the Service in the 12 months before the claim, or US$100 if that is greater.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or end access if these terms are broken, if needed to protect the Service or other users, or if required by law. Where we can, we will give notice and a chance to export Customer Data first. Sections 3, 4, 9, 10, 11 and 14 survive termination.
13. Changes to these terms
We may update these terms. We will post the new version here and update the date at the top. If a change is material, we will notify account holders by email or in the Service before it takes effect. Continuing to use the Service after that means you accept the change.
14. Governing law
These terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules.
